Redsan Digitals Pvt. Ltd. (“Redsan Digitals”, “the Company”, “we”, “us”, or “our”) is a full-service digital marketing and technology consultancy based in Dehradun, Uttarakhand, India. This Service Limitations Policy (“Policy”) sets out, in plain terms, the factors, dependencies, and boundaries that govern the digital marketing, creative, and technology services we provide (“Services”), so that clients (“Client”, “you”, or “your”) have a clear and realistic understanding of what our Services can and cannot guarantee.
This Policy should be read together with the Master Service Agreement, the applicable Statement of Work (SOW), and the Refund & Cancellation Policy governing your engagement. By engaging Redsan Digitals for any Service, you acknowledge that you have read, understood, and agreed to this Policy.
1. Purpose of This Policy
Digital marketing and technology work is collaborative, iterative, and dependent on numerous external variables: including search algorithms, auction dynamics, competitor actions, and the Client’s own responsiveness, content quality, and sales operations. This Policy establishes these parameters upfront so that both parties operate with identical expectations, and so that Section 5 of our Refund & Cancellation Policy (“absence of a specific result is not, by itself, grounds for a refund”) is understood in proper commercial context.
2. No Guarantee of Specific Results
Unless a specific, measurable outcome is expressly guaranteed in a signed proposal or SOW, Redsan Digitals does not guarantee particular numerical results from any Service, including but not limited to:
- Search engine rankings, keyword positions, or featured-snippet placement (SEO / AEO / GEO);
- Gross volume of website traffic, impressions, social reach, or follower counts;
- Click-through rates (CTR), engagement percentages, or website conversion rates;
- Number or commercial quality of leads captured;
- Return on ad spend (ROAS), cost per lead (CPL), or cost per customer acquisition (CAC); or
- Revenue, gross sales volume, or bottom-line business profitability attributable to our Services.
We commit to applying commercially reasonable skill, high effort, and industry-standard technical practice on every engagement, and to reporting transparently on the metrics we directly control. Outcomes, however, are influenced by variables that sit outside agency control.
3. Dependency on Third-Party Platforms
Our Services rely on platforms operated by third parties: including Meta, Google, LinkedIn, search engines, generative AI engines, cloud hosting providers, and CMS or SaaS software vendors. Redsan Digitals has no control over, and is not responsible for:
Algorithm & Policy Shifts
Unannounced modifications to platform auction algorithms, organic ranking models, ad review policies, or search engine result page layouts.
Platform Outages & Downtime
Global cloud disruptions, API bugs, temporary server outages, or unexpected platform security enforcement actions not caused by our negligence.
Commercial Rate Increases
Changes in platform ad inventory costs, minimum billing thresholds, or sudden mandatory platform fee increases instituted by Meta or Google.
Feature Deprecation & Paywalls
Discontinuation, breaking API updates, or paywalling of third-party tools, plugins, or platforms upon which a campaign or custom build relied.
Where a platform-side modification materially impacts an ongoing project or campaign, we notify the Client promptly and recommend an equitable adjustment to scope, timeline, or strategy.
4. Client-Dependent Factors
The speed and commercial impact of our Services depend directly upon the Client’s own cooperation and assets. Redsan Digitals is not liable for delayed milestones or suboptimal performance resulting from:
- Delayed feedback, pending deliverable approvals, unshared brand guidelines, or withheld account access credentials;
- Underlying client website issues: such as legacy hosting bottlenecks, substandard product pricing, negative public reviews, or inventory stockouts;
- Independent modifications made by the Client (or a third-party vendor) to website code, landing page copy, checkout logic, or product pricing during an active campaign;
- Hiring multiple competing agencies, freelancers, or internal staff to simultaneously manage the same channel without written agency coordination, causing attribution conflicts; and
- Client sales team responsiveness: such as slow lead turnaround times, absent CRM follow-up sequences, or improper lead qualification, where our engagement is limited to lead generation.
5. Scope, Revisions & Change Requests
Each engagement is executed strictly in alignment with the deliverables, specifications, and revision rounds agreed in the applicable SOW.
- Out-of-Scope Requests: Requests beyond the signed statement of work, or exceeding included revision allowances, are handled via a written Change Order with corresponding fee and timeline adjustments;
- Minor Revisions vs Scope Expansion: Minor adjustments (such as color tweaks or sentence rephrasing) are distinguished from structural additions (such as a new landing page, new ad campaign, or complete rebranding) at Redsan Digitals’ reasonable professional discretion; and
- Inconsistent Directions: Where client feedback contradicts or reverses previously signed-off milestones, additional iterations are billed separately.
6. Timelines & Delivery
Project schedules quoted in proposals are good-faith estimates based on standard project velocities and the Client fulfilling feedback and access requirements on time. Timelines naturally adjust where client approvals stall, platform reviews take unexpected time, or scope changes are requested. Projects remaining inactive due to client delays for more than 30 consecutive days are subject to the project lapse policy in Section 5 of the Refund & Cancellation Policy.
7. Advertising Budget & Spend Limitations
Redsan Digitals orchestrates advertising campaigns within budgets authorized by the Client. We cannot guarantee fixed acquisition costs at a given budget tier, because auction density, seasonal bid spikes, competitor budgets, and platform compliance checks govern auction pricing dynamically. While we resolve ad disapprovals diligently, Redsan Digitals is not liable for platform-side account restrictions applied in good faith against compliant client creative.
8. Reporting & Data Limitations
Performance reporting utilizes analytics tools provided by third-party platforms (e.g., Meta Ads Manager, Google Analytics 4, Google Search Console). These tools operate under proprietary attribution models, data sampling thresholds, and tracking latency. Regulatory privacy shifts (such as iOS App Tracking Transparency, cookie deprecation, and ad blockers) cause unavoidable attribution discrepancies for which the Agency cannot be held liable.
9. Force Majeure
Neither party is responsible for delays or service delivery impediments resulting from events beyond reasonable operational control: such as natural calamities, regional internet disruptions, nationwide infrastructure failure, government directives, or platform-wide outages. Delivery timelines will be extended proportionally without penalty.
10. Disclaimer & Limitation of Liability
Except as expressly set forth in a signed Statement of Work, our Services are provided on a commercially reasonable, industry-standard basis without implied warranties of specific revenue or ranking outcomes. This Policy operates in concert with the Limitation of Liability clause in Section 11 of the Master Service Agreement, which caps aggregate agency liability and excludes indirect or consequential damages.
11. Changes to This Policy
Redsan Digitals may refine this Policy periodically to reflect technological shifts, industry standards, or legal updates. The version active at the time an SOW is signed governs that engagement.
